Terms of Service

These Terms of Service govern your access to and use of the Maynut Technologies website and the advertising services we provide. By using our site or engaging us as your agency, you agree to these Terms.

Who we are

These Terms of Service (the "Terms") form a binding agreement between you and Maynut Technologies Inc., a Canadian corporation operating from Toronto, Ontario ("Maynut," "we," "us," "our"). They govern your use of maynut.co (the "Site") and the advertising services we provide to our clients (the "Services").

Specific commercial terms — scope of work, fees, payment schedule, cancellation — are set out in the individual service agreement signed by each client (the "Service Agreement"). Where a Service Agreement and these Terms conflict, the Service Agreement controls.

Eligibility

You may use the Site if you are at least 18 years old and able to form a binding contract under the law of your jurisdiction. You may engage Maynut as your advertising agency if, in addition, you are a licensed real estate agent, broker, or brokerage in good standing in your jurisdiction, or are otherwise authorized to advertise real estate services there. You are responsible for compliance with all applicable real estate licensing rules, including any disclosures or disclaimers required in advertising.

Our services

Maynut provides advertising agency services including, depending on the Service Agreement:

  • Creation, launch, and management of advertising campaigns on Meta platforms (Facebook, Instagram, Messenger, Audience Network)
  • Advertising creative production — copy, photography, video, and design
  • Installation and configuration of the Meta Pixel and Conversions API
  • Lead routing from Meta lead-form ads to client-designated destinations
  • Performance reporting and ongoing optimization

We do not guarantee any specific advertising outcome — including but not limited to a particular volume of leads, conversion rate, cost per lead, listing volume, or revenue. Advertising results depend on many factors outside our control, including market conditions, the quality and pricing of your offerings, your responsiveness to leads, and Meta's evolving platform policies.

Authorization to act on your behalf

To deliver the Services, you grant Maynut authorization to access and operate your Meta Business Portfolio and the ad accounts, Pages, pixels, and other assets you designate. This access is established through Meta's official authorization flow and is limited to the permissions described in our Privacy Policy.

You confirm that you have the authority to grant this access and to authorize advertising in respect of all assets you connect. You may revoke this authorization at any time from your Facebook account's Settings → Business Integrations page; we will treat revocation as a cancellation of the affected Services and complete any outstanding work or refund obligations as set out in the Service Agreement.

Your responsibilities

You are responsible for:

  • Maintaining your own active Meta Business Portfolio, ad account, and Facebook Page in good standing, and keeping a valid payment method on file with Meta to fund ad spend
  • Funding all advertising spend directly with Meta — Maynut's fees do not include media spend, which is billed by Meta to your account
  • Providing accurate and complete information about your business, your listings, and any properties or services advertised
  • Ensuring that any photographs, video, branding, listing details, or other materials you provide are accurate and that you have the right to use them in advertising
  • Complying with Meta's Advertising Standards, applicable real estate advertising rules and disclosures, fair housing laws, and all other applicable laws in your jurisdiction
  • Promptly responding to leads generated by your campaigns and handling lead data in compliance with applicable privacy and anti-spam laws
  • Maintaining the confidentiality of any access credentials shared with you

Fees and payment

Service fees, billing frequency, payment method, and refund terms are set out in your Service Agreement. Unless otherwise specified, fees are stated in Canadian dollars and are exclusive of applicable taxes (HST/GST), which will be added to invoices where required. Late payments may accrue interest at the rate stated in the Service Agreement and may result in suspension of the Services after notice.

Media spend on Meta is billed directly to your Meta ad account by Meta and is your responsibility, not ours. We will recommend daily and monthly budgets, but we do not control your account spending limits, which you set within Meta.

Intellectual property

Your materials. You retain all rights in materials you provide to us. You grant Maynut a non-exclusive, worldwide, royalty-free license to use those materials solely for the purpose of providing the Services to you.

Deliverables. Subject to full payment of fees due, Maynut assigns to you the rights in the advertising creative we produce specifically for your campaigns, except for any underlying templates, frameworks, processes, methodologies, and tools we develop in the course of our business, which remain Maynut's property.

The Site and our brand. The Site and all content on it (other than your materials and your deliverables) — including text, design, graphics, logos, and code — are the property of Maynut or our licensors and are protected by copyright, trademark, and other laws. You may not copy, modify, distribute, or create derivative works of the Site without our written permission.

Confidentiality

Each party agrees to keep confidential the non-public business, financial, and technical information of the other party that it learns in the course of the engagement. Confidential information may be used only for the purpose of performing or receiving the Services and must be protected with at least the same care a party uses to protect its own confidential information of similar importance, and in any event, no less than reasonable care.

Acceptable use

You agree not to:

  • Use the Services or the Site to violate any law, regulation, or third-party right
  • Run advertising that violates Meta's policies, including ads that are misleading, discriminatory, or otherwise prohibited under fair housing laws
  • Attempt to gain unauthorized access to the Site, our systems, or another user's account
  • Reverse engineer, decompile, scrape, or attempt to derive source code from the Site or any of our software
  • Introduce malware, conduct denial-of-service attacks, or otherwise interfere with the operation of the Site
  • Misrepresent your identity, your affiliation, or your authority to make a purchase or grant access

Third-party platforms

Our Services depend on third-party platforms — chiefly Meta — and on third-party tools you may choose to integrate (such as a CRM). We are not responsible for the operation, availability, security, pricing, or policies of those platforms. Changes to a third-party platform's API, policies, pricing, or features may affect or interrupt the Services, and we may need to adjust the Services in response without prior notice. We will use reasonable efforts to keep you informed of material changes that affect your campaigns.

Disclaimers

The Site and the Services are provided "as is" and "as available." To the maximum extent permitted by law, Maynut disclaims all warranties — express, implied, or statutory — including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant that any specific advertising outcome will be achieved.

Limitation of liability

To the maximum extent permitted by law, Maynut and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, arising from or in connection with the Site, the Services, or these Terms, even if advised of the possibility of such damages.

Maynut's total cumulative liability for all claims arising from or in connection with these Terms or the Services will not exceed the fees you paid us in the three months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability, in which case the limitations above apply only to the extent permitted by law.

Indemnification

You agree to indemnify and hold harmless Maynut and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: (a) materials you provide to us, including any claim that those materials infringe a third party's rights or violate any law; (b) your use of the Site or the Services in violation of these Terms; (c) your violation of any law or third-party right; and (d) the conduct of your business, including the offering, advertising, and sale of real estate services.

Term and termination

These Terms apply for as long as you use the Site or the Services. Each Service Agreement may be terminated as set out in that agreement. Either party may terminate immediately on written notice if the other party materially breaches these Terms or the Service Agreement and fails to cure within 14 days of notice, or commits an uncurable breach.

On termination, all rights and licenses granted under these Terms cease, except those that by their nature are intended to survive — including provisions on intellectual property, confidentiality, indemnification, limitation of liability, and dispute resolution. We will return or delete personal information as set out in our Privacy Policy.

Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles. Each party submits to the exclusive jurisdiction of the courts of Ontario for any dispute arising from or relating to these Terms or the Services, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

Changes to these Terms

We may update these Terms from time to time. The updated version takes effect when posted to this page, with the "Last updated" date revised. If the changes are material to existing Clients, we will provide reasonable advance notice — for example, by email — before the changes take effect. Your continued use of the Site or the Services after the effective date constitutes acceptance of the updated Terms.

General

These Terms, together with the applicable Service Agreement and our Privacy Policy, constitute the entire agreement between you and Maynut regarding the subject matter and supersede all prior or contemporaneous understandings on that subject. If any provision is held unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of substantially all of our assets.
